Since 2016, companies listing on the Hong Kong Stock Exchange are required to prepare Environmental, Social and Governance (“ESG”) Reports in accordance with the Environmental, Social and Governance Reporting Guide annually. HKEx published its Consultation Conclusions on the “Review of the Environmental, Social and Governance Reporting Guide (ESG Guide) and Related Listing Rules” on 18 December 2019. The new amendments to the ESG Guide will apply to issuer's ESG reports for the financial years commencing on or after 1 July 2020.


Key changes and suggestions

  • Shortening the deadline of publication of ESG Reports
  • Introducing mandatory disclosure requirements (MDRs)
  • Requiring disclosure of significant climate-related issues
  • Amending the “Environmental” KPIs to require disclosure of relevant targets
  • Revising certain KPIs
  • Upgrading the disclosure obligation of all “Social” KPIs to “comply or explain”
  • Encouraging independent assurance
