RSM Studio Palea Lauri Gerla assisted Sonnedix, an independent multinational solar energy group controlled by institutional investors, in the acquisition of a 22.3MW portfolio of solar PV plants from Spanish IPP Solarig.
The portfolio consists of 18 ground-mounted solar photovoltaic plants, all of them in operations since 2010/2011 and under the Italian Conto Energia feed-in tariff system. All plants are located in Italy.
The tax and due diligence aspects of the transaction were handled by a team led by partner Cristiano Lenti and assisted by Maria Luisa Appendino; partner Federico Vai, supported by Davide Renno, handled the financial and valuation aspects of the transaction.
Watson Farley & Williams ("WFW") advised Sonnedix on the corporate, authorization, regulatory and finance aspects, during the due diligence phase up to the definition of the appropriate contractual structuring of the acquisition, with a team led by Partners Eugenio Tranchino and Tiziana Manenti and Of Counsel Luca Sfrecola, and comprising Senior Associates Cristina Betti and Anthony Bellacci and Associates Giovanni Benedetto, Antimo Nersita, Francesco Vanzaghi and Daniele Sani.
