RSM Studio Palea Lauri Gerla has supported Krause Group in the acquisition of Parma Calcio

This is part of the current unstoppable process of progressive internationalisation of the Italian football club ownership.

Besides Roma, Inter, Milan, Fiorentina and many other teams within the minor leagues, Serie A welcomes a new foreign investor.

The American Krause Group - a holding company based in Iowa, through which, as stated by its pay- off "Using a global vision to grow local communities", Krause family has been operating for long in different sectors including logistics, commerce and real estate and which was already present in Italy with targeted investments in hospitality and wine production – has acquired 90% of Parma Calcio 1913 and 99% of Progetto Stadio Parma, the company created to manage the Tardini Stadium renovation project.

The ownership of 9% of Parma Calcio remains with Nuovo Inizio, a company made up of excellent Emilian businesses who, 5 years ago, started a new football project from the failure of the previous management. The ownership of 1% of Parma Calcio, instead, remains with Parma Partecipazioni Calcistiche, a club with a widespread shareholder base that brings together over 800 members representing fans, sponsors and companies of the city.

"Once our city's team, which had been brought back to life thanks to amateurs only 5 years ago, had returned to Serie A, the members of Nuovo Inizio had undertaken to identify a new majority shareholder who was solid, passionate and skilled to ensure a peaceful future for Parma Calcio" - said Marco Ferrari, chairman of Nuovo Inizio, explaining that "the deed executed this morning concludes this mission: the passion of Kyle Krause and his family for our country, our sport and our city makes them the most suitable people to write a new chapter in the history of Parma. We wish the best of luck to Krause family, while we thank all those who have helped and supported us in many ways over the years" (Source: ANSA).

Krause Group Ltd has been supported in the transaction by Nctm Studio Legale with a team composed of partner Raffaele Caldarone, salary partner Jacopo Arnaboldi and associate Martina Villa; for fiscal aspects by RSM Studio Palea Lauri Gerla with a team composed of partner Marcello Rabbia (in the picture) and Alberto Trainotti and Marica Ferrero; by Mark McManigal, as financial advisor.

Nuovo Inizio Srl has been advised for corporate aspects by Gattai Minoli Agostinelli & Partners with a team composed of the partners Bruno Gattai and Federico Bal and associates Jacopo Ceccherini and Roberto Garrone; for tax aspects by counsel Alban Zaimaj and for labour aspects by senior associate Francesco D'Avanzo; by Belli Law Firm, which acted with partner Michele Belli and attorney Federica Ruffo; by Luigi Capitani (Studio Capitani Picone) and by Andrea Mora (Mora & Associati), as financial advisors.

The vendor due diligence for the transaction was handled by EY, with a team led by partner Stefano Matalucci. EY partners Gianni Panconi and Matteo Cerri has instead supported Krause Group in the business plan and services related to the determination of the net financial position.

The Notary Giulio Almansi based in Parma managed the deeds of sale while the notarial transactions relating to the closing were entrusted to the Notary Professor Mario Notari from the notary firm Zabban-Notari-Rampolla & Associati.
