Puerto Rico State Department announced  a new amnesty for years before 2020

The new Secretary of State, Hon. Lawrence N. Seilhamer-Rodriguez announced on January 16, 2021, a new amnesty for fines and penalties related to annual reports and annual dues. 

There was an amnesty in effect prior to this announcement, but it expired on December 31, 2020. Said amnesty was issued by the Puerto Rico State Department on October 27, 2020, as a response to the adverse situation created by the 2020 earthquakes and the COVID-19 pandemic by way of Administrative Order No. 2020-09.

New Amnesty Details

Applies solely to active entities.  Canceled entities will not benefit from the new amnesty. 

Applicability for Corporations

The amnesty applies to fines related to the late filing of annual reports for years prior to 2020, including 2019.  The annual report and annual fee for 2020 are due on April 15, 2021.

Applicability for LLC

The amnesty applies to fines related to the late payment of the annual due for years prior to 2020, including 2019.  The annual fee for 2020 is due on April 15, 2021.

Entities with payment plans

Entities with payment plans will automatically benefit from the amnesty on any pending balance.

  • Corporations' payments within the plan must cover all annual reports' costs.
  • In LLCs' case, the payments made under the payment plan must cover all annual dues' costs.

 NEW Deadline

The amnesty will be in effect from January 19 to February 17, 2021.
