RSM Studio Tax Legal & Advisory assisted Kettal S.L., a Spanish group operating in the international furniture and design market, in the acquisition of a majority stake in Driade S.r.l., a historic Italian company founded in 1968.

The closing of the transaction, which was recently completed, represents a key step in the strategic plan launched at the beginning of the year between Kettal and Nemo Group, aimed at relaunching and developing the Driade brand internationally. RSM provided integrated support across the legal, tax, labour and financial aspects of the transaction, assisting from the due diligence phase and the structuring of the acquisition through to the negotiation and completion of the transaction documentation.

The assignment involved close collaboration between the Italian and Spanish teams of the RSM network, ensuring a multidisciplinary and coordinated approach to a cross-border transaction. In particular, RSM’s Legal Corporate & M&A team conducted the legal due diligence and provided transaction support, with a team led by partner Marco Carlizzi and assisted by Eleonora Pisoni (Manager) and Martina Sallustio. The labour due diligence was handled by partner Francesca Taviano. The tax due diligence was conducted by partner Guido Pignanelli with the assistance of Greta Gallo. The financial due diligence was carried out by a team from RSM Spain led by partner Jordi Bellobí.

The seller, Italian Creation Group S.p.A., a company belonging to the Nemo Group, was assisted by Riccardo De Vergottini for the legal aspects and by Giulio Palma for the tax aspects. Under the new structure, Kettal will acquire a majority stake in Driade, bringing its industrial and commercial know-how and international reach to the outdoor design and lifestyle markets, while Nemo Group will remain a minority shareholder, ensuring continuity with the Italian cultural, design and craftsmanship heritage that has long characterized the brand. Driade’s registered office and operations will remain in Italy, confirming the parties’ commitment to preserving the brand’s roots and tradition, while integrating complementary expertise to address the challenges of the global market.

The transaction has been described by the parties as much more than a simple acquisition: it represents an unprecedented transnational collaboration in the design sector, inspired by shared values and a Mediterranean vision of creativity, craftsmanship and innovation. The common objective is to strengthen the brand’s presence in international markets, develop new products and further enhance Driade’s competitive position globally.
