A robust business valuation is the starting point for every good decision on a sale, acquisition, investor entry, reorganisation or restructuring. At RSM Croatia, we prepare independent, well-reasoned valuations that you can defend in front of buyers, banks, auditors and courts. You will know what the company is worth before you negotiate or sign off a major decision.

Value is never just one number in a spreadsheet. It depends on the purpose of the valuation, the quality of earnings, the market, risk and the expectations of the other side. Family business owners often misjudge the value of their own company, while international buyers expect clear logic behind every assumption. That is why we build each valuation transparently, step by step, so that every number comes with an explanation.

How we help with business valuations

Valuations for sales and investor entry

Enterprise and equity value as a solid basis for negotiating price and deal structure.

Corporate reorganisations

Valuations for mergers, demergers and spin-offs, including share exchange ratios.

Financial reporting

Purchase price allocation under IFRS 3 and impairment testing under IAS 36.

Tax and transfer pricing

Arm's length valuations for intra-group transfers of assets and shares.

Disputes and succession

Valuations for litigation and out-of-court settlements, shareholder exits and succession planning in family businesses.

Intangible assets

Valuing brands, technology, licences and customer relationships.

Employee share plans

Share valuations for key-staff incentive schemes, including options.

Our approach

We start by discussing the purpose of the valuation and the decisions it will support. We then analyse historical results, normalise earnings and challenge management's business plan. We apply recognised methods: most often discounted cash flow (DCF), market multiples of comparable companies and transactions, and the net asset approach. Next, we reconcile the results. You receive a clear report with a value range, key assumptions and a sensitivity analysis. For audit clients, we provide valuations only where independence rules allow.

Business valuation FAQs

It depends on the complexity of the business, the availability of data and the purpose of the valuation. For most mid-sized companies it takes a few weeks, and we agree the timeline upfront.

We usually combine the discounted cash flow method with market multiples. The net asset approach is used for holding companies, property-rich businesses or companies without stable profits.

Financial statements for the last three to five years, current results, a business plan or budget, a list of key customers and contracts, and information on assets and liabilities. We help you put together anything that is missing.

Because it lets you set the terms of the conversation. An independent valuation shows a realistic price range, reveals the weak points a buyer will look for and gives you arguments for a better price and terms.
